Evoto Asset Hub Supplemental Terms

These Evoto Asset Hub Supplemental Terms ("Asset Hub Terms") supplement and incorporate by reference the Evoto Terms of Use ("Master Terms"). Capitalized terms used but not defined herein have the meanings given in the Master Terms.

You will be required to review and affirmatively accept these Asset Hub Terms before obtaining access to Assets through Evoto Asset Hub (the "Asset Hub"), including by checking a box, clicking an acceptance button, or completing another acceptance flow presented by Evoto. If you do not agree to these Asset Hub Terms, you must not obtain or use Assets through the Asset Hub. The Asset Hub is part of the Evoto ecosystem, and Assets obtained through the Asset Hub may be accessed and used only within the Evoto Software, subject at all times to the Master Terms and any applicable Evoto subscription, credit, product, export, and pricing terms. In the event of any conflict between these Asset Hub Terms and the Master Terms with respect to Asset Hub-specific matters, these Asset Hub Terms will control.

Section 1 — Definitions

The following definitions apply throughout these Asset Hub Terms:

"Asset" means any digital template, preset, background, sky replacement, AI look, AI scene composition, or other content item made available on the Asset Hub, whether created by Evoto or submitted by a Creator.

"Asset Hub" means Evoto Asset Hub, the online and in-product platform through which Evoto makes Assets available to users.

"Creator" means a user who has been approved by Evoto to submit Assets for listing on the Asset Hub pursuant to the Evoto Creator Terms.

"Creator Asset" means an Asset submitted by a Creator and made available on the Asset Hub.

"Creator Terms" means the Evoto Creator Terms governing the upload and licensing of Creator-submitted Assets.

"Credits" means Evoto credits as defined in the Master Terms, consumed upon export of processed images within the Evoto Software.

"Pro Asset" means an Asset that Evoto designates as accessible exclusively to users who hold an active paid Evoto subscription, at no separate purchase charge, while that designation remains in effect.

"Evoto Software" means the Evoto desktop client software and the Evoto mobile application software through which users edit and process images. For the avoidance of doubt, "Evoto Software" does not include the Asset Hub website or any standalone Asset Hub web page.

"Exported Output" means any image or other file that you export from the Evoto Software after processing your own content using an Asset.

"Free Asset" means an Asset that Evoto designates as available to registered users at no additional charge while that designation remains in effect.

"Limited-Time Promotional Asset" means an Asset that Evoto designates as available for temporary use only by users who hold an active paid Evoto subscription and satisfy any additional qualification requirements stated on the relevant Asset listing or other Asset-specific page, during a specified promotional period.

"Paid Asset" means an Asset that Evoto designates as requiring a separate purchase transaction on the Asset Hub to unlock the usage rights stated at the time of purchase.

"Preview Content" means any image, photograph, before-and-after illustration, or other visual material used to demonstrate the visual effect or characteristics of an Asset, displayed on the Asset Hub or within the Evoto Software.

"Your Content" means the photographs, images, and other materials that you own or control and submit for processing through the Evoto Software.

Section 2 — Account and Access

2.1 Unified Account System. The Asset Hub and the Evoto Software share a single account system. Registering on the Asset Hub constitutes creation of an Evoto account governed by the Master Terms, and an existing Evoto account may be used to access the Asset Hub without separate registration. Regardless of the entry point through which you register, your account is subject to the Master Terms in their entirety.

2.2 Personal Use Only. Your Asset Hub account and any Asset access rights are personal to you and non-transferable. You must not share, transfer, sell, or otherwise make your account or Asset access available to any third party.

2.3 Evoto Software Requirement. Any Asset you obtain through the Asset Hub, whether by purchase, collection, favorite, free access, promotional claim, subscription entitlement, or any other method made available by Evoto, may be accessed, loaded, applied, and used only within the Evoto Software. Your use of the Evoto Software is separately subject to the Master Terms and any applicable Evoto subscription, credit, product, export, software version, and pricing terms. Obtaining an Asset does not, by itself, include any Evoto subscription, Credits, export entitlement, software upgrade, or other right to access or use the Evoto Software. If your account, device, or Evoto Software does not meet the applicable subscription, credit, minimum version, regional availability, compatibility, or other eligibility requirements, you may be unable to access or use an Asset or export Exported Output, even if you have purchased, collected, favorited, or otherwise obtained access to that Asset through the Asset Hub.

Section 3 — Asset Categories and Access Conditions

3.1 Free Assets. While an Asset is designated as a Free Asset, it is available to registered users at no additional charge, subject to the conditions displayed for that Asset. No purchase or active subscription is required solely by reason of that designation. Collecting, favoriting, accessing, or using a Free Asset does not constitute a purchase and does not guarantee that the Asset will remain free or available in the future. Use remains limited to the Evoto Software and subject to the Master Terms, these Asset Hub Terms, any applicable Asset-specific terms, and Section 3.6 below.

3.2 Limited-Time Promotional Assets. Limited-Time Promotional Assets are made available only for temporary use during the promotional period and only to users who hold an active paid Evoto subscription and satisfy any additional qualification requirements stated on the relevant Asset listing or other Asset-specific page. During that period, you may access and use the Asset within the Evoto Software only as a promotional subscription benefit and subject to those requirements. Upon expiration or termination of the promotional period:

1. the promotional access ends;
2. any right based solely on the promotional availability, collection, favorite, or subscription qualification terminates; and
3. any continued access or use is subject to the Asset category, price, subscription requirement, availability, and other conditions then designated by Evoto.

3.3 Pro Assets. While an Asset is designated as a Pro Asset, it is accessible only to users who hold the qualifying active paid Evoto subscription at the time of use. No separate purchase is required solely by reason of that designation. If the qualifying subscription lapses, is cancelled, or no longer satisfies the applicable eligibility conditions, access is suspended.

3.4 Paid Assets. While an Asset is designated as a Paid Asset, it requires a separate purchase on the Asset Hub. Upon completion of a valid purchase transaction, you receive the license and access rights stated on the Asset listing, checkout page, confirmation page, or other purchase terms presented to you at the time of purchase, subject to Section 4 below.

3.5 Credits. For all Asset Categories and all methods of obtaining Asset access, the export of processed images within the Evoto Software requires consumption of Credits in accordance with the Master Terms and applicable pricing pages. Credit consumption rules are not affected by Asset Category, purchase status, or whether an Asset was created by Evoto or submitted by a Creator.

3.6 Asset Category Changes. Subject to applicable law and any notice required by applicable law, Evoto may, in its discretion and at any time, designate, reclassify, or change the category, price, access method, promotional status, subscription eligibility, availability, or other access conditions of any Asset. For example, Evoto may change a Free Asset into a Paid Asset, Pro Asset, or Limited-Time Promotional Asset; change a Paid Asset into a Free Asset or Limited-Time Promotional Asset; or make any other category change. Unless you completed a valid purchase before the applicable change takes effect, your continued access to or use of the Asset after the change is subject to the Asset's then-current category and access conditions, regardless of any prior collection, favorite, free access, promotional claim, subscription access, or use. Completed purchases are protected as set out in Section 4.4. A later reduction in price or change to a free or promotional category does not entitle a prior purchaser to a refund, credit, or price adjustment except where required by applicable law.

3.7 Asset Listing Terms. Certain Creator Assets may be subject to additional scope, access, duration, or usage terms displayed on the relevant Asset listing, checkout page, confirmation page, or other Asset-specific notice at the time you obtain access to the Creator Asset. Such Asset-specific terms form part of these Asset Hub Terms with respect to the relevant Creator Asset.

3.8 Software Version Requirements. In order to access, load, apply, update, or use any Asset, you must install and maintain the specified minimum compatible version, or any later compatible version, of the Evoto Software required for that Asset. You are responsible for installing, updating, or upgrading the Evoto Software version required for the Assets you purchase, collect, favorite, or otherwise obtain through the Asset Hub. To the maximum extent permitted by applicable law, Evoto is not responsible or liable for any inability to access, load, apply, use, or export results using an Asset if such inability results from your failure to install, update, or upgrade the Evoto Software to the required compatible version.

Section 4 — Asset License Terms

4.1 License Grant. Subject to your compliance with these Asset Hub Terms and the Master Terms, the access conditions applicable to the relevant Asset category as set forth in Section 3, and any Asset-specific terms displayed when you obtain access to the relevant Asset, Evoto grants you a non-exclusive, non-transferable, non-sublicensable, worldwide license to access and use the Asset solely within the Evoto Software for the purpose of processing Your Content ("Asset License"). The Asset License is personal to you and your registered account. Except for rights obtained through a valid completed purchase as described in Section 4.4, the duration and continued availability of an Asset License depend on the then-current category, subscription status, promotional period, availability, and other access conditions applicable to the Asset.

4.2 Creator Assets and Asset-Specific Scope. Creator Assets may be made available through various access methods, including but not limited to purchase, free access, promotional claim, subscription entitlement, or other methods designated by Evoto. For any Creator Asset, the specific permitted scope of use, license type, access duration, commercial-use permission, and other applicable limitations are determined by the scope stated on the Asset listing, checkout page, confirmation page, or other Asset-specific terms displayed at the time you obtain access to that Creator Asset, if any. Those Asset-specific terms are incorporated into and form part of these Asset Hub Terms with respect to that Creator Asset.

If there is a conflict between the general terms in this Section 4 and the Asset-specific terms displayed for a Creator Asset, the Asset-specific terms will control with respect to the permitted scope of use for that Creator Asset. However, no Asset-specific terms permit you to access, extract, transfer, or use the underlying Asset outside the Evoto Software unless Evoto expressly states otherwise in a written agreement signed or otherwise accepted by Evoto.

4.3 Restrictions. You must not:

1. access, use, or load any Asset outside of the Evoto Software;
2. reproduce, copy, extract, export, redistribute, or otherwise transfer any Asset file in isolation or independently of the Evoto Software;
3. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source data, parameters, or underlying components of any Asset;
4. sublicense, sell, resell, transfer, assign, or otherwise convey your Asset License or any right therein to any third party;
5. use any Asset or Preview Content to train, fine-tune, benchmark, or otherwise develop any artificial intelligence or machine learning model or system; or
6. use any Preview Content independently of the Asset Hub or the Evoto Software, or for any purpose other than evaluating the relevant Asset.

4.4 Protection of Completed Purchases. If you complete a valid purchase transaction for a Paid Asset, the scope and duration of your Asset License are governed by the Asset listing, checkout page, confirmation page, and other terms presented or applicable to you at the time of purchase, together with the versions of these Asset Hub Terms and the Master Terms applicable at that time. A subsequent reclassification, price change, promotion, removal, or withdrawal of the Asset does not, by itself, terminate or reduce the rights you obtained through that completed purchase. This protection applies only to completed purchase transactions and not to free, promotional, subscription, collection, favorite, or other non-purchase access. Except as expressly stated in the terms applicable at the time of purchase or required by applicable law, Evoto does not represent that any Asset will remain listed, available, compatible, or supported indefinitely.

4.5 Your Content and Exported Output. You retain all intellectual property rights in Your Content. When you use an Asset within the Evoto Software to process Your Content and export the result ("Exported Output"), you own the Exported Output to the same extent that you own Your Content. Evoto does not claim any ownership or intellectual property rights in Exported Output by virtue of your use of any Asset.

Subject to the rights you hold in Your Content, applicable law, and any Asset-specific terms applicable when the relevant Exported Output is created, the Asset License includes the right to incorporate the visual effects of the Asset into Exported Output for permitted purposes, including commercial purposes where permitted by the applicable Asset-specific terms. A later reclassification, price change, removal, or withdrawal of the Asset does not, by itself, require you to stop using Exported Output that was lawfully created and exported before that change.

For the avoidance of doubt:

1. the Asset License covers only the right to use Assets within the Evoto Software; it does not extend to the distribution of any underlying Asset file to third parties; and
2. your rights in Exported Output are governed by the rights you hold in Your Content and the applicable Asset-specific terms, subject to the access conditions in Section 3 and the usage restrictions in this Section 4.

4.6 No Other Rights. No rights are granted to you other than as expressly set forth in this Section 4. All intellectual property rights in Assets not expressly granted herein are reserved by Evoto or the relevant Creator, as applicable.

Section 5 — Purchases and Payment

5.1 Purchases of Paid Assets are processed through the payment mechanism available on the Asset Hub. By completing a purchase, you authorize Evoto to charge the applicable fee to your designated payment method.

5.2 All prices are displayed exclusive of applicable taxes unless otherwise stated. You are responsible for all applicable taxes associated with your purchases.

5.3 Purchased Asset access is linked to your account and is non-transferable.

5.4 Unless expressly stated at checkout, purchasing or otherwise obtaining an Asset does not include any Evoto subscription, Credits, payment for exports, software upgrade, or right to use the Evoto Software beyond the rights available under the Master Terms and any applicable Evoto subscription, credit, product, export, software version, and pricing terms. You are responsible for maintaining any subscription, Credits, minimum compatible Evoto Software version, and other account or device eligibility required to use the Asset and export Exported Output through the Evoto Software. To the maximum extent permitted by applicable law, Evoto will not be responsible or liable if you are unable to use an Asset because you have not updated or upgraded the Evoto Software to the version required for that Asset.

Section 6 — Refund Policy

6.1 Except as required by applicable law or expressly provided in an applicable Refund Policy or purchase terms, purchases are final. By completing your purchase, you acknowledge and agree that the applicable products and digital services are non-refundable and non-exchangeable, and that purchased Asset access is non-transferable.

Section 7 — Preview Content and Portrait Imagery

7.1 The Asset Hub and the Evoto Software display Preview Content to illustrate the visual effect of Assets. Preview Content may include photographs or images of real, identifiable individuals.

7.2 All Preview Content provided directly by Evoto has been obtained with appropriate rights and permissions, including where applicable valid written model releases from identifiable individuals depicted.

7.3 Preview Content is made available solely for the purpose of evaluating Assets. You must not download, reproduce, distribute, publish, or use Preview Content for any other purpose.

7.4 Where Preview Content has been submitted by a Creator, the Creator bears responsibility for ensuring all necessary rights and consents have been obtained. If you believe that Preview Content depicts your likeness without your authorization, please contact Evoto support as set forth in Section 11.3.

Section 8 — Creator-Uploaded Assets

8.1 Certain Assets available on the Asset Hub have been submitted by Creators pursuant to the Creator Terms. Evoto reviews and approves Creator-submitted Assets prior to publication but does not represent or warrant that any Creator-submitted Asset is free from third-party intellectual property claims. The scope of your rights in any Creator Asset is determined as set forth in Section 4.2.

8.2 Evoto may remove any Creator-submitted Asset from the Asset Hub at any time, including in response to a valid intellectual property complaint. For the effect of any such removal on Exported Output, Section 4.5 applies.

8.3 Your recourse for defects or quality issues with any Asset is to contact Evoto support. Evoto does not facilitate direct claims between end users and Creators.

Section 9 — Changes to These Asset Hub Terms

9.1 Evoto may update these Asset Hub Terms from time to time. Evoto will provide reasonable advance notice of material changes.

9.2 Continued use of the Asset Hub after the effective date constitutes acceptance of the revised terms on a prospective basis. No revision to these Asset Hub Terms, and no continued use of the Asset Hub, by itself reduces or terminates rights validly obtained through a completed purchase under Section 4.4. If you do not agree to revised terms governing future access, you must stop using the Asset Hub.

9.3 Operational policies (including revenue share rules and content moderation guidelines) will be published as separate policies or addenda and incorporated by reference upon publication.

Section 10 — Governing Law and Dispute Resolution

10.1 These Asset Hub Terms are governed by the same governing law as the Master Terms: Delaware law for users who contracted with Truesight Technology Inc.; Singapore law for all other users.

10.2 The dispute resolution, forum, and limitation provisions in the Master Terms apply equally to these Asset Hub Terms to the extent applicable, subject to any mandatory rights or remedies under applicable law.

10.3 Nothing in this Section limits any mandatory rights or remedies under applicable consumer protection law in your jurisdiction.

Section 11 — General Provisions

11.1 These Asset Hub Terms, together with the Master Terms (and, for Creators, the Creator Terms), form the complete agreement between you and Evoto with respect to your use of the Asset Hub.

11.2 If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions continue in full force.
